These Terms of Use ("Terms") govern your access to and use of the website at www.thecxsignature.com and related services (the "Services") provided by MainstreetXR LLC, doing business as "The CX Signature" ("The CX Signature," "we," "us," "our"), 5955 Alpha Road, Suite #5206, Dallas, Texas 75240. By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who may use the Services
You must be at least 18 and able to form a binding contract. The Services are for business use by two kinds of users: members (property and office managers and their teams, who use the directory and planning tools) and vendors (businesses that may be listed in the directory). If you use the Services for an organization, you represent that you are authorized to bind it.
2. What the Services are — and are not
The CX Signature is a curated directory and planning tool that helps managers discover activation vendors and plan tenant and employee engagement. We help you find and organize; we are not a party to, and are not responsible for, any booking, contract, payment, or transaction between a member and a vendor. We do not broker deals, guarantee that any vendor will be available or perform, or verify every detail of every listing beyond our editorial curation. Any engagement you enter with a vendor is solely between you and that vendor.
3. Directory listings, curation, and non-endorsement
- No endorsement. A listing in the directory does not mean the vendor endorses, sponsors, or is affiliated with The CX Signature, and it does not mean we endorse, guarantee, or recommend the vendor, except where a placement is clearly labeled as our own editorial pick. Featured or sponsored placements, where offered, are always labeled and never change the neutrality of the rest of the directory.
- Unclaimed listings. We may create listings for vendors from publicly available information and from a vendor's own website. Certain live details on an unclaimed listing (such as ratings, photos, hours, and address) are displayed live from Google at page-load time, with attribution, and are not stored by us; we store only a Google Place ID plus editorial content we author. A vendor may claim, correct, or request removal of a listing at any time by contacting hello@thecxsignature.com.
- No public review system. We do not host public star ratings or crowd reviews of vendors, and we do not rank buildings or managers against one another.
4. Accounts
Member accounts are structured as company, buildings, and users: the account belongs to the management company or employer and survives staff changes; it may include multiple buildings and multiple authorized users. You are responsible for keeping your credentials confidential and for activity under your account, and you agree to notify us promptly of any unauthorized use. We are not liable for losses arising from your failure to protect your credentials.
5. Plans, payments, and your data
- Free and paid plans. Core directory and planning features are free. Paid plans add memory, content, and reporting features, as described at checkout. Paid plans may follow a free trial; details and current pricing are shown at sign-up.
- Billing. Paid plans are billed through our payment processor (Stripe). You authorize recurring charges until you cancel. Fees are non-refundable except as required by law.
- Your data is portable. You may export your own entered data (such as events, dates, spend, and notes) at any time, including on a lapsed plan — we do not hold your data hostage. Formatted deliverables and reports are product features available on a paid plan.
- Vendors. Free vendor profiles do not guarantee any placement, traffic, or results. Paid vendor placements, where offered, are labeled and subject to any additional purchase terms we provide. A vendor's account and any subscription are non-transferable without our written consent.
6. Your content and licenses
You retain ownership of content you submit (such as a vendor's listing content or a member's planning entries). You grant us a non-exclusive, worldwide, royalty-free license to host, display, and use that content as needed to operate and provide the Services (for members, to run your workspace; for vendors, to display your listing). You represent that you have the rights to the content you submit and that it does not infringe others' rights.
7. Our intellectual property
The Services — including our software, design, editorial content, category taxonomy, and curation — are owned by The CX Signature and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Services for their intended purpose. You may not copy, scrape, republish, or build a competing directory from our content, or use automated means to extract data from the Services, except as expressly permitted.
8. Acceptable use
You agree not to: create accounts by impersonation or use another's account; use the Services for unlawful purposes; upload infringing, deceptive, harassing, or harmful content; interfere with or attempt to breach the security of the Services; scrape or harvest data except as permitted; or misuse leads, contacts, or member information. Vendors additionally agree not to discourage members from engaging other vendors and not to misrepresent their services. We may suspend or terminate accounts that violate these Terms or that engage in discriminatory, abusive, or harmful conduct.
9. Third-party services
The Services display or link to third-party services (for example, Google for live listing details, and links to vendor websites). We are not responsible for third-party content, services, or terms. Your use of third-party services is governed by their own terms and policies.
10. Disclaimers
The Services and all directory content are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that listings are accurate, complete, or current, that vendors will perform, or that the Services will be uninterrupted or error-free. You are responsible for your own decisions about which vendors to engage.
11. Limitation of liability
To the maximum extent permitted by law, The CX Signature will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Services or any dealings with vendors. Our total liability for any claim will not exceed the greater of US$100 or the amount you paid us in the 12 months before the claim.
12. Indemnification
You agree to indemnify and hold harmless The CX Signature from claims, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Services, your dealings with vendors or members, or your violation of these Terms or of others' rights.
13. Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Services or other users. Sections that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, indemnification, and dispute terms) survive termination.
14. Changes to the Services and these Terms
We may change or discontinue features, and we may update these Terms. If we make material changes, we will post the updated Terms with a new effective date and, where appropriate, provide additional notice. Your continued use after an update means you accept the revised Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. You and The CX Signature agree to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas for any dispute not subject to a separate written agreement.
